Filed notices to sell

A Form 144 is a notice an insider files before selling restricted or control stock. The Form 4 that reports the completed trade isn't due until two business days after the sale, so these notices usually surface two to four days ahead of anything on the insider selling page, and they state a dollar value up front that a Form 4 never does. That makes this the earliest public warning that a sale is coming.

These are intentions, not completed trades. A notice can be for more shares than the insider ends up selling, and some are never acted on at all, which is why every row shows whether the sale has actually been reported yet. "Routine" here means the notice names a Rule 10b5-1 plan adoption date, the filer's own statement that the sale was scheduled in advance. Notices with no plan date are the insider's own call. Unmatched notices are dropped after 90 days, the life of a Rule 144 notice.

One limit worth knowing about the Type column. A Form 144 has no field for tax withholding, so while a notice is still unreported the only thing we can read off it is whether it names a Rule 10b5-1 plan. That means a sell-to-cover on a vesting grant looks like the insider's own call until the Form 4 arrives. Once it does, we take the type from that filing instead and mark the row per Form 4, so an Executed row showing Tax withholding was a routine tax sale no matter what the notice implied.
