Frequently asked questions

Why does this tracker show far more buys than sells, if it tracks both?

The two lists use different bars on purpose. Any open-market buy is rare enough on its own to be worth including, so the buy list is effectively everything. Sells are the opposite problem: constant, and mostly meaningless (compensation, taxes, prearranged trading plans). The sell feed therefore uses two floors. A sale of $200k or more is included whatever kind it is, and below that a sale has to earn its place by being discretionary: down to $50k, but only where the insider had no prearranged plan and it was not automatic tax withholding. Funds and investment firms are excluded from the sell list entirely. That standard cuts what would be hundreds of sale filings a month down to a handful worth knowing about.

Can I look up insider trades for a specific stock?

Yes. The search box at the top of each page takes a ticker and filters that page to just that company, across everything on record rather than only the most recent filings. Searching from this page returns buys, sells and filed notices for the symbol together, which is usually the fastest way to see whether anyone at a company has been trading. If a ticker returns nothing it means either no qualifying filing exists or the company is not on our watchlist.

What do the "Routine", "Tax withholding" and "Own call" labels mean?

"Routine" covers two things: a Rule 10b5-1 plan, a pre-scheduled buying or selling arrangement set up in advance and disclosed via a checkbox on the filing, and an automatic company purchase program like an Employee Stock Purchase Plan or an LTI bonus trust, disclosed in a footnote instead of a checkbox. Neither reflects a same-day decision. "Tax withholding" is a sell-to-cover: when a stock grant vests, the company sells just enough of the newly issued shares to pay the tax bill, and the executive has no say in the size or the timing. Those sales carry the same transaction code as a real sale, but the person almost always ends the day owning more stock than they started with, not less. A trade with none of those signals is the insider's "Own call": a real-time choice to buy or sell, the strongest signal of the three, though still not proof of anything on its own.

Does insider buying or selling mean the stock will move?

No. Insiders misjudge their own companies regularly, buys can be about signaling confidence as much as expecting gains, and most sells (even the filtered "Own call" ones shown here) can still be personal financial planning that has nothing to do with the company's outlook. This is public disclosure data, not investment advice. It's one input worth knowing about, best read alongside the rest of a company's filings.

How often does the tracker update?

Every 15 minutes during market hours. Form 4 filings are due within two business days of a trade, so a row usually appears one to two days after the transaction date, and both dates are shown on every row so you can see the lag. Form 144 notices to sell are the exception and run ahead of the trade rather than behind it.
